These Terms and Conditions (“Terms”) govern access to and use of TeckNexus.com and the websites, accounts, content, publications, intelligence products, interactive tools, assessments, calculators, journeys, reports, directories, award programs, memberships, commercial services, and other products or services made available by TeckNexus LLC (collectively, the “Services”).

By accessing or using the Services, creating an account, submitting information, purchasing or subscribing to a Service, or otherwise indicating acceptance, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Additional terms may apply to particular Services, including an order form, proposal, statement of work, award rules, program terms, Upload Agreement, Refund Policy, Privacy Policy, Cookies Policy, or other posted terms. If an additional written agreement signed or accepted by TeckNexus conflicts with these Terms, the additional agreement controls for that specific Service to the extent of the conflict.

1. Eligibility and Business Use

The Services are intended primarily for business, professional, research, and industry users. You must be at least 18 years old or the age of legal majority where you live, whichever is higher, to create an account, purchase a Service, submit an award nomination, or enter into a commercial relationship with TeckNexus. You may not use the Services if applicable law prohibits you from doing so.

2. Accounts and Team Access

You must provide accurate and current account and billing information and keep your credentials secure.

You are responsible for activity conducted through your account and for promptly notifying TeckNexus of suspected unauthorized access.

Individual credentials may not be shared outside the licensed user or organization. Where a paid plan includes team access, the licensed organization may authorize eligible users within that organization, subject to any seat, user, location, or usage limits stated at purchase. Credentials may not be shared with external parties, contractors, affiliates, or other organizations unless the applicable plan or written agreement expressly permits that access.

TeckNexus may suspend or restrict access where reasonably necessary to protect the Services, investigate misuse, address non-payment, or enforce these Terms.

3. TeckNexus Services

3.1 Public Content and Resources

TeckNexus publishes news, analysis, interviews, magazines, whitepapers, deployment profiles, directories, trackers, educational material, and other editorial or informational content. Publicly accessible content is provided for informational use and remains subject to TeckNexus and third-party intellectual property rights.

3.2 Intelligence Products and Paid Access

TeckNexus may offer paid intelligence products, including vertical intelligence platforms, continuously updated decision cards, research databases, benchmarking products, reports, trackers, or similar subscription or licensed resources. Unless a purchase page or order form states otherwise, paid access is a limited, non-exclusive, non-transferable right for the licensed organization and its authorized users to access, download, and use the applicable materials for internal business purposes during the access term.

Paid materials and downloaded or generated outputs may be shared internally within the licensed organization for its own business use. They may not be republished, resold, sublicensed, distributed outside the licensed organization, made publicly available, incorporated into a competing database or commercial product, or used to create a substitute for the Service without TeckNexus’s written permission.

3.3 Interactive Intelligence Tools

TeckNexus may provide assessments, technology selectors, architecture selectors, ROI/TCO calculators, AI use-case prioritizers, network-planning tools, SLA-mapping tools, RFP scorecards, guided intelligence journeys, security assessments, benchmarking tools, and other interactive decision-support tools (“Intelligence Tools”). Outputs may be based on user-supplied information, TeckNexus methodologies, scoring logic, evidence, assumptions, automated processing, and, where stated, AI-assisted features.

Intelligence Tool results are decision-support outputs, not guarantees, certifications, professional advice, or a substitute for independent technical, legal, financial, security, procurement, or other expert review. You are responsible for validating assumptions and deciding whether and how to act on an output.

3.4 Co-Developed or Sponsored Tools

Some Intelligence Tools are co-developed with or sponsored by an identified third party. Sponsorship may fund development, hosting, promotion, or related activities. Unless expressly stated otherwise, TeckNexus retains control of its methodology, platform, scoring, and output logic. TeckNexus shares contact or lead information with the named sponsor only when the user affirmatively opts in to that sponsor connection or data sharing. A sponsor does not receive the user’s individual assessment answers, response data, or full results unless the user provides a separate and explicit consent specifically authorizing that additional sharing.

3.5 Third-Party Tools and External Resources

TeckNexus may curate or link to third-party calculators, tools, content, events, products, websites, or services. Third-party resources are controlled by their providers, may have separate terms and privacy practices, and are used at your own risk. Inclusion in a directory or article does not by itself constitute endorsement.

3.6 Awards Programs

Award nominations and related programs are subject to the rules, deadlines, eligibility requirements, fees, judging criteria, and category requirements stated for the applicable award cycle. Submission of an entry does not guarantee eligibility, finalist status, an award, editorial coverage, or any particular outcome. TeckNexus may verify, reclassify, reject, or disqualify an entry that is incomplete, misleading, ineligible, submitted without required permissions, or inconsistent with program rules.

You are responsible for obtaining any customer, partner, employer, trademark, confidentiality, publicity, or other approvals required for materials you submit. Do not submit confidential information unless TeckNexus has expressly agreed to receive it as confidential. Subject to the applicable award rules, you grant TeckNexus the rights reasonably necessary to administer, judge, announce, and promote the program and, where appropriate, to publish approved nomination information, winner profiles, logos, quotes, and related editorial coverage.

3.7 Memberships, Sponsorships, and Commercial Services

TeckNexus may offer memberships, sponsored content, executive interviews, whitepaper programs, webinars, lead-generation programs, campaigns, co-branded tools, partner hubs, custom research, strategic engagements, or similar commercial services. Scope, deliverables, timing, usage rights, approval processes, pricing, and payment terms may be set out in a proposal, invoice, order form, or statement of work. That document controls the applicable commercial engagement if it differs from these Terms.

Customer and participant identification. If you purchase a paid TeckNexus Service or enter into a paid commercial relationship on behalf of an organization, you grant TeckNexus permission to identify that organization as a TeckNexus customer, client, member, partner, sponsor, advertiser, Awards participant, or program participant, as applicable, and to use the organization’s name and logo in customer or participant lists, the TeckNexus website, presentations, proposals, case lists, and marketing materials. You represent that you have authority to provide this permission. A signed written agreement applicable to the specific engagement may state different publicity terms and will control to the extent of any conflict.

4. Orders, Fees, Billing, and Taxes

Prices and included features are those presented at the time of purchase or in the applicable order document. TeckNexus may change pricing prospectively, including at renewal.

Payments may be processed by third-party payment providers or by invoice, ACH, wire transfer, or other approved methods. You authorize the applicable payment provider to charge the amounts shown at checkout or in the order document.

Unless the applicable checkout page, purchase page, or written order states otherwise, paid Intelligence subscriptions and membership subscriptions renew automatically for successive periods of the same length at the then-current applicable price until cancelled. You must cancel before the renewal date to prevent the next renewal charge. Cancellation does not shorten the current paid term; access continues through the end of that term unless access is suspended or terminated under these Terms. Commercial invoices, sponsorships, Awards entries, and project-based services do not automatically renew unless their applicable order terms expressly provide for renewal.

You are responsible for applicable taxes, duties, bank charges, and similar governmental or transaction charges, except taxes based on TeckNexus’s net income.

Refunds and cancellations are governed by the Refund Policy and any more specific written order terms.

5. User Inputs, Tool Data, and Submitted Materials

You retain ownership of information, content, responses, documents, and other materials you submit to the Services (“User Materials”), subject to the rights you grant in these Terms and any additional submission terms. You represent that you have the rights and permissions needed to submit User Materials and that their use as contemplated by the Service will not violate law or third-party rights.

You grant TeckNexus a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and otherwise use User Materials as reasonably necessary to provide, secure, support, and improve the Services; generate requested outputs; administer programs; and comply with law. TeckNexus may create and use aggregated, de-identified, or anonymized information derived from User Materials for benchmarking, research, analytics, service improvement, and industry intelligence, provided published or shared benchmark information does not identify you or your organization. TeckNexus will not attempt to re-identify information it treats as de-identified except as permitted by law for security or compliance purposes.

Additional rights may apply to content submitted for publication, Awards, partner programs, or other programs under the Upload Agreement, award rules, or a separate written agreement.

6. Intellectual Property and Permitted Use

The Services and their design, software, methodologies, scoring models, taxonomies, research structures, databases, editorial content, graphics, reports, templates, decision cards, tool logic, compilations, trademarks, and other materials provided by TeckNexus (“TeckNexus Materials”) are owned by TeckNexus or its licensors and are protected by intellectual property and other laws.

Subject to these Terms and any Service-specific restrictions, TeckNexus grants you a limited, revocable, non-exclusive, non-transferable license to access and use TeckNexus Materials for your own personal or internal business purposes. No ownership rights are transferred.

Unless TeckNexus gives prior written permission, you may not reproduce substantial portions of TeckNexus Materials; redistribute paid content; remove proprietary notices; create a competing product or database from the Services; systematically extract data; or use TeckNexus Materials, tool outputs, or datasets to train, fine-tune, ground, evaluate, or develop a machine-learning or generative-AI model, except where TeckNexus expressly provides a license permitting that use.

7. Acceptable Use

You agree not to:

use the Services unlawfully, fraudulently, deceptively, or in a manner that infringes intellectual property, privacy, confidentiality, publicity, or other rights;

upload malware, interfere with security controls, disrupt infrastructure, probe for vulnerabilities without authorization, or attempt unauthorized access;

scrape, crawl, spider, harvest, bulk-download, or use automated means to access or copy the Services except through an interface or API TeckNexus expressly provides for that purpose;

circumvent paywalls, access controls, usage limits, license restrictions, or security mechanisms;

impersonate another person or organization, submit materially false information, or misrepresent authority, affiliation, permissions, deployment facts, award claims, or customer approvals;

use the Services to send spam, unsolicited marketing, or unlawful communications;

resell, rent, sublicense, or commercially exploit access to the Services except under a written agreement with TeckNexus; or

use content or data obtained from the Services to create or operate a materially substitutive or competing intelligence, publishing, benchmarking, or AI-training service without written permission.

8. Editorial, Sponsored, and Affiliate Content

TeckNexus may publish sponsored content, paid partner material, advertisements, affiliate links, co-branded tools, and other commercial content. TeckNexus seeks to identify material commercial relationships where disclosure is required or appropriate. A commercial relationship does not, by itself, mean that a sponsor controls TeckNexus editorial conclusions, independent tool scoring, or independent research methodology. Specific sponsored or partner programs may have additional disclosure terms.

9. Privacy and Cookies

TeckNexus’s collection and use of personal information is described in the Privacy Policy. The use of cookies and similar technologies is described in the Cookies Policy. By using the Services, you acknowledge these policies and any consent choices presented to you.

10. Third-Party Services

The Services may integrate with or link to third-party services, including payment processors, analytics providers, embedded media, event platforms, cloud services, social platforms, or external tools. TeckNexus is not responsible for a third party’s products, availability, security, accuracy, terms, or privacy practices. Your use of a third-party service is governed by that provider’s terms.

11. Availability, Changes, and Beta Features

TeckNexus may add, change, improve, suspend, or discontinue features or Services. Continuously updated intelligence may change as new evidence becomes available. Beta, preview, or experimental features may be incomplete, changed without notice, or withdrawn. TeckNexus does not guarantee uninterrupted availability, a minimum volume of updates, or continued availability of a particular third-party source, tool, dataset, or integration unless a written agreement expressly states otherwise.

12. Suspension and Termination

You may stop using the Services at any time and may request account closure by contacting TeckNexus. Cancellation of a paid Service affects future access and billing as described in the Refund Policy or applicable order terms. TeckNexus may suspend or terminate access for breach of these Terms, non-payment, security risk, fraud, unlawful conduct, or misuse. Where reasonably practicable, TeckNexus may provide notice and an opportunity to cure before terminating paid access, but is not required to do so where immediate action is reasonably necessary.

13. DMCA and Copyright Complaints

If you believe material on the Services infringes your copyright, send a written notice to contact@tecknexus.com containing: (a) identification of the copyrighted work; (b) identification and location of the allegedly infringing material; (c) your contact information; (d) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or law; (e) a statement under penalty of perjury that the notice is accurate and that you are the copyright owner or authorized to act for the owner; and (f) your physical or electronic signature. TeckNexus may remove allegedly infringing material and take action against repeat infringers as appropriate.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND TECKNEXUS MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TECKNEXUS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND RESULTS. TECKNEXUS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR A PARTICULAR DECISION OR OUTCOME.

Additional limitations concerning research, estimates, assessments, security tools, ROI/TCO calculations, rankings, external resources, and other informational outputs appear in the Disclaimer, which is incorporated into these Terms.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECKNEXUS AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY; OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF TECKNEXUS FOR CLAIMS ARISING OUT OF OR RELATING TO A PAID SERVICE WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE BY YOU TO TECKNEXUS FOR THE AFFECTED SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR FREE SERVICES, THE TOTAL AGGREGATE LIABILITY WILL NOT EXCEED US$100. These limitations do not apply to liability that cannot lawfully be limited or excluded.

16. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless TeckNexus and its affiliates, officers, employees, contractors, and agents from third-party claims, losses, liabilities, damages, costs, and reasonable legal fees arising from your unlawful or unauthorized use of the Services, your User Materials, your breach of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim results from TeckNexus’s own breach or unlawful conduct.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Unless an applicable written agreement states otherwise, and except where applicable law gives you a non-waivable right to bring a claim elsewhere, any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Maricopa County, Arizona, and each party consents to their jurisdiction and venue.

18. Changes to These Terms

TeckNexus may update these Terms to reflect changes in the Services, law, security practices, or business operations. The “Last Updated” date identifies the current version. If a change is materially adverse to users of an active paid Service, TeckNexus will provide notice as required by applicable law or the applicable agreement. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.

19. General

If any provision of these Terms is held unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without TeckNexus’s written consent; TeckNexus may assign them in connection with a merger, reorganization, sale of assets, or similar transaction. Sections that by their nature should survive termination will survive. These Terms and applicable incorporated or Service-specific terms constitute the agreement between you and TeckNexus concerning the Services covered by them.
